ScoreApp Partnership Agreement
Effective 1st July 2026
This Partner Agreement (“Agreement”) is entered into between Hyper Targeted Marketing Limited trading as ScoreApp (“ScoreApp”, “we”, “us”, or “our”), a company registered in England and Wales with its registered office at C/O Hillier Hopkins LLP, First Floor, Radius House, 51 Clarendon Road, Watford, United Kingdom, WD17 1HP, and the individual or entity agreeing to these terms (“Partner”, “you”, or “your”).
Together referred to as the “Parties”.
Recitals
ScoreApp provides a lead generation and scorecard marketing platform designed to help businesses capture, qualify, and convert leads through personalised assessments and data-driven marketing.
The Partner wishes to promote ScoreApp and refer potential customers to ScoreApp, and/or to set up and manage ScoreApp accounts on behalf of its own clients, in each case in exchange for commission payments in accordance with the terms of this Agreement.
This Agreement applies to all ScoreApp partners and is accepted by the Partner regardless of how the Partner participates — whether as an affiliate (promoting ScoreApp and referring customers via a Referral Link), as an agency partner (setting up and managing ScoreApp accounts for clients through a Partner Account), or both.
This Agreement is supplemental to the ScoreApp Terms of Service, which the Partner has separately accepted as a ScoreApp account holder. Where this Agreement conflicts with the ScoreApp Terms of Service in relation to the partner, affiliate or referral relationship, this Agreement governs.
The Parties therefore agree as follows:
1. Definitions
1.1 “Partner Dashboard” means the affiliate area and/or partner account within the Partner’s ScoreApp login where the Partner’s Referral Link, connected client accounts, Programme, Commission Rate, commission duration and payment settings are displayed, as applicable to how the Partner participates.
1.2 “Commission Rate” means the commission percentage applicable to the Partner under its Programme, as shown in the Partner’s Partner Dashboard from time to time.
1.3 “Confidential Information” means any non-public business, technical, commercial, financial, operational, or strategic information disclosed by one Party to the other.
1.4 “Customer” means an end user who purchases a paid subscription to ScoreApp directly from ScoreApp for their own business use and not for resale.
1.5 “Effective Date” means the date the Partner accepts or agrees to this Agreement.
1.6 “Net Subscription Revenue” means revenue actually received by ScoreApp from qualifying referred Customers and Connected Clients in respect of the products, plans and add-ons that ScoreApp designates as commission-eligible (as shown in the Partner Dashboard), excluding refunds, chargebacks, taxes, payment processing fees, and discounts or credits applied by ScoreApp. ScoreApp may change which products, plans and add-ons are commission-eligible from time to time.
1.7 “Partner Commission” means the commission payable to the Partner in accordance with Section 4.
1.8 “Programme” means the partner programme assigned to the Partner, as shown in the Partner Dashboard, which determines the Partner’s Commission Rate, the duration for which commission is payable, and the ScoreApp products, plans and add-ons that are eligible to earn commission.
1.9 “Referral Link” means the unique referral tracking link issued by ScoreApp to the Partner.
1.10 “Services” means the products, services, software, subscriptions, tools, platforms, programmes, and offerings made available by ScoreApp.
1.11 “ScoreApp Marks” means ScoreApp’s trademarks, logos, trade names, brand assets, designs, graphics, and related intellectual property.
1.12 “Partner Account” means an agency / partner account provided by ScoreApp to the Partner for the purpose of setting up, connecting to and managing ScoreApp accounts on behalf of the Partner’s clients.
1.13 “Connected Client” means a Customer whose ScoreApp account is, or has been, set up, transferred, connected to or managed by the Partner through a Partner Account.
2. Appointment and Licence
2.1 Appointment. ScoreApp appoints the Partner on a non-exclusive, non-transferable and revocable basis to promote the Services and, where the Partner is provided with a Partner Account, to set up and manage ScoreApp accounts on behalf of its clients, in each case in accordance with this Agreement.
2.2 Licence to Use ScoreApp Materials. Subject to compliance with this Agreement, ScoreApp grants the Partner a limited, revocable, non-exclusive, non-transferable licence during the term of this Agreement to use approved ScoreApp Marks and marketing materials solely for the purpose of promoting the Services.
2.3 Restrictions. The Partner shall not:
- modify, alter or misuse ScoreApp Marks or marketing materials;
- create misleading or deceptive advertising relating to ScoreApp;
- present themselves as an employee, representative, legal agent or owner of ScoreApp;
- sublicense, resell or white-label ScoreApp unless expressly agreed in writing;
- create domains, subdomains, social handles or URLs incorporating ScoreApp Marks without prior written consent;
- reverse engineer, copy or attempt to replicate the Services.
2.4 Reservation of Rights. All intellectual property rights relating to the Services, ScoreApp Marks and all associated materials remain the exclusive property of ScoreApp.
3. Partner Obligations
3.1 General Obligations. The Partner agrees:
- to promote ScoreApp professionally, ethically and lawfully;
- to comply with all applicable laws, regulations and advertising standards;
- not to engage in deceptive, misleading, unlawful or unethical marketing practices;
- not to damage the reputation, goodwill or brand of ScoreApp;
- to ensure all claims made regarding ScoreApp are accurate and not misleading;
- to comply with all applicable privacy, data protection and anti-spam laws;
- to maintain accurate and up-to-date promotional content relating to ScoreApp.
3.2 Disclosure of Material Connection. The Partner must clearly and conspicuously disclose its commercial relationship with ScoreApp wherever it promotes, endorses or reviews the Services, in accordance with applicable advertising rules and guidance (including those of the Advertising Standards Authority and, where relevant, the U.S. Federal Trade Commission). The disclosure must be visible in close proximity to the relevant endorsement and must not be hidden behind vague links or require the reader to navigate away to find it.
3.3 Prohibited Advertising Activities. The Partner must not:
- bid on, purchase or target any ScoreApp branded search terms, including but not limited to: ScoreApp, Score App, ScoreApp Quiz, ScoreApp Scorecard, ScoreApp Assessment or any confusingly similar variation, and must add such terms as negative keywords where running broader campaigns;
- impersonate ScoreApp through advertising, websites, landing pages or domains;
- send unsolicited email marketing relating to ScoreApp unless expressly approved in writing by ScoreApp;
- engage in spam, cookie stuffing, fake referrals, fraudulent traffic generation or misleading attribution methods.
3.4 Referral Tracking. Referrals will be tracked using the Partner’s Referral Link and associated tracking technologies, including cookies. The standard referral attribution window is one hundred and eighty (180) days unless otherwise determined by ScoreApp. Commission is payable only where:
- the referral is successfully tracked by ScoreApp;
- the referred Customer becomes a paying Customer; and
- the Customer has not previously held a paid ScoreApp subscription.
ScoreApp reserves the right to determine referral attribution in cases of tracking disputes or conflicting claims. The Partner is responsible for ensuring any use of cookies or tracking technologies complies with applicable laws and consent requirements.
3.5 Partner Accounts and Client Relationships (Agency Partners). Where the Partner is provided with a Partner Account:
- the Partner is responsible for all activity under its Partner Account and by its team members and users, for assigning appropriate access levels, and for ensuring its team complies with this Agreement;
- the Partner warrants that it has authority from each client to act on that client’s behalf in relation to the client’s ScoreApp account, and must only access and use client accounts and data as authorised by the client and as needed to provide its services; access is also governed by the permissions the client grants;
- the Partner may charge its clients its own fees for services it provides (such as scorecard setup, configuration and management). Any such fees, and the Partner’s contract with its client, are solely between the Partner and the client; ScoreApp is not a party to them and has no liability under them. The Partner must make clear to its clients that ScoreApp subscription fees are separate and payable to ScoreApp, and must not misrepresent ScoreApp’s pricing, plans or terms;
- the Partner must not use a development account or client account to circumvent ScoreApp subscription fees or this Agreement; and
- the Partner acknowledges that ScoreApp may list the Partner in its partner directory and may invite the Partner’s clients to submit reviews of the Partner’s services.
4. Commissions
4.1 Commission and Rate. Subject to this Agreement, ScoreApp shall pay the Partner a recurring Partner Commission on the Net Subscription Revenue received by ScoreApp from qualifying referred Customers and Connected Clients, at the Commission Rate and for the duration set by the Partner’s Programme. The Partner’s Programme, current Commission Rate, commission duration, and the products, plans and add-ons that are eligible to earn commission are shown in, and determined by, the Partner’s Partner Dashboard, which is the authoritative record of these matters at any time. The Commission Rate and terms shown in the Partner Dashboard apply to new qualifying referrals. Commission payable on Customers referred previously may differ, reflecting the rate and terms that applied when those Customers were referred, unless ScoreApp applies a change to existing referred Customers under Section 4.3.
4.2 Duration of Commission. Partner Commission is payable for the duration specified by the Partner’s Programme as shown in the Partner Dashboard, which may be for the lifetime of the referred Customer’s paid subscription or for a fixed period. This is subject to the remainder of this Agreement and to ScoreApp’s rights under Section 4.3.
4.3 Changes to Commission Structure. ScoreApp may vary the Commission Rate, the duration of commission, the commission structure, the qualifying criteria, the products, plans and add-ons that are eligible to earn commission, or the partner programme generally, from time to time by giving the Partner not less than thirty (30) days’ notice. ScoreApp may, at its sole discretion, apply any such change to new qualifying referrals only, or also to Customers already referred. ScoreApp is under no obligation to preserve (or “grandfather”) any existing Commission Rate, duration or terms in respect of previously referred Customers, and a decision to preserve existing terms on any occasion does not oblige ScoreApp to do so on any future occasion. Notice may be given through the Partner Dashboard, by email, or by any other reasonable means. The Commission Rate and terms shown in the Partner Dashboard following any such change are authoritative for new qualifying referrals. If the Partner does not agree to a change, the Partner’s sole remedy is to terminate this Agreement under Section 5; continued participation in the programme after the notice period takes effect constitutes acceptance of the change.
4.4 Bespoke Commercial Arrangements. ScoreApp may, at its sole discretion, agree separate commission rates, promotional arrangements or commercial terms with selected Partners in writing. Where agreed in writing, such bespoke terms prevail over the standard Commission Rate for that Partner.
4.5 Payment Terms. Partner Commission accrues on qualifying Net Subscription Revenue as it is received by ScoreApp. ScoreApp pays accrued commission monthly, on or around the 7th day of each month, to any Partner whose accrued unpaid commission balance exceeds forty pounds (£40) at that time. Balances at or below the threshold roll over and are paid once the threshold is met. Payments are made in Pounds Sterling (GBP) via PayPal or via a bank payment link (such as Revolut, which supports payment to most banks internationally), or by any other payment method designated by ScoreApp. The Partner is responsible for setting up and maintaining accurate payment details in the Partner Dashboard, for all applicable taxes, and for any payment processing or currency conversion fees.
4.6 Chargebacks and Refunds. Where a Customer receives a refund, chargeback or payment reversal, the related commission shall be deducted from current or future commission payments.
4.7 Survival of Commission on Termination. Except where this Agreement is terminated for the Partner’s breach, fraud or other conduct described in Section 4.8, the Partner shall continue to receive Partner Commission on Customers already referred and tracked, and on Connected Clients already connected, before the termination date, for as long as those Customers or Connected Clients maintain an active paid subscription. This applies whether the Partner chooses to stop promoting the Services, the Partner terminates under Section 5.2, or ScoreApp terminates without cause. This Section 4.7 is at all times subject to ScoreApp’s right under Section 4.3 to vary or discontinue the Commission Rate, structure or programme on notice.
4.8 Breach and Commission Forfeiture. If the Partner breaches this Agreement, engages in fraud, engages in misleading advertising, breaches advertising restrictions, engages in PPC brand bidding, damages the reputation of ScoreApp, violates applicable laws, or engages in spam or unethical conduct, ScoreApp may immediately terminate this Agreement and all unpaid and future commission entitlements shall immediately cease.
4.9 No Guaranteed Earnings. ScoreApp makes no guarantee regarding referral volume, conversion rates, income, profitability, or Customer retention.
4.10 Connected Client Commissions (Agency Partners). Where the Partner earns commission through a Partner Account, commission is earned while a Connected Client maintains an active paid subscription, on the same Commission Rate, duration, eligibility and other terms set out in this Section 4. If a Connected Client connects to the Partner while on a free plan and later takes up a paid subscription, commission accrues from the date the paid subscription begins. The Partner remains entitled to commission on a Connected Client for as long as that client maintains an active paid subscription, even if the Partner’s collaborator or management access to the client account is later removed or the Partner and client disconnect, subject always to Sections 4.3, 4.7 and 4.8.
5. Term and Termination
5.1 Term. This Agreement shall commence on the Effective Date and continue until terminated in accordance with this Agreement.
5.2 Termination by Either Party. Either Party may terminate this Agreement at any time by providing thirty (30) days’ written notice.
5.3 Immediate Termination. ScoreApp may terminate this Agreement immediately where the Partner:
- breaches this Agreement;
- engages in prohibited advertising activities;
- damages the ScoreApp brand or reputation;
- engages in unlawful conduct;
- infringes ScoreApp intellectual property rights; or
- breaches confidentiality obligations.
5.4 Effect of Termination. Upon termination:
- all licences granted under this Agreement immediately cease;
- the Partner must immediately stop using ScoreApp Marks and marketing materials;
- Partner Commission is dealt with in accordance with Section 4 (in particular, Section 4.7 where the Agreement ends other than for the Partner’s breach or fraud, and Section 4.8 where it ends for breach or fraud);
- the Partner must remove or destroy any confidential information or proprietary materials belonging to ScoreApp upon request.
6. Confidentiality
6.1 Confidentiality Obligations. Each Party agrees to keep all Confidential Information disclosed by the other Party confidential and not to disclose such information to any third party except where required by law.
6.2 Permitted Disclosure. Confidential Information may be disclosed to employees, contractors or professional advisers who reasonably require access and are subject to confidentiality obligations.
6.3 Exclusions. Confidential Information does not include information which: (a) is or becomes publicly available through no fault of the receiving Party; (b) was already lawfully known to the receiving Party; (c) is independently developed without reference to the Confidential Information; or (d) must be disclosed by law or court order.
6.4 Survival. Confidentiality obligations shall survive termination of this Agreement for five (5) years.
7. Data Protection
7.1 Compliance. Each Party shall comply with all applicable data protection and privacy laws, including the UK GDPR and the Data Protection Act 2018.
7.2 Independent Controllers. Unless otherwise agreed in writing, each Party acts as an independent data controller in relation to any personal data processed under this Agreement.
7.3 Cookies and Tracking. The Partner is responsible for ensuring any use of cookies, tracking technologies or referral tracking mechanisms complies with applicable laws and consent requirements.
7.4 Client Accounts (Agency Partners). Where the Partner accesses or processes personal data within a client’s ScoreApp account (including leads and results), it does so under its own arrangement with, and on the instructions of, that client. As between ScoreApp and the Partner, the Partner is responsible for ensuring it has the necessary authority and data protection arrangements with the client. ScoreApp processes such data on behalf of the account holder in accordance with the ScoreApp Terms of Service and privacy policy.
8. Warranties and Liability
8.1 Mutual Warranties. Each Party warrants that it has the authority and legal capacity to enter into this Agreement.
8.2 Disclaimer. Except as expressly stated in this Agreement, the Services are provided “as is” and ScoreApp disclaims all implied warranties to the fullest extent permitted by law.
8.3 Limitation of Liability. To the fullest extent permitted by law, neither Party shall be liable for indirect loss, loss of profit, loss of revenue, loss of opportunity, loss of goodwill, or consequential damages. ScoreApp’s total aggregate liability under this Agreement shall not exceed the total commission paid or payable to the Partner during the twelve (12) months preceding the event giving rise to the claim. Nothing in this Agreement excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot legally be excluded.
9. Indemnity
The Partner shall indemnify and hold harmless ScoreApp and its officers, directors, employees and agents against all liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Partner’s breach of this Agreement; (b) the Partner’s marketing, advertising, statements or claims relating to ScoreApp or the Services; (c) the Partner’s negligence or wilful misconduct; or (d) the Partner’s infringement of any third-party right, including any intellectual property or data protection right.
10. Anti-Bribery and Compliance
The Partner shall comply with all applicable anti-bribery, anti-corruption, sanctions and modern slavery laws and regulations, including the UK Bribery Act 2010. The Partner shall not engage in any activity that could cause ScoreApp to breach applicable laws or regulations.
11. General
11.1 Independent Contractors. Nothing in this Agreement creates any partnership, joint venture, employment or agency relationship between the Parties.
11.2 Assignment. The Partner may not assign or transfer this Agreement without prior written consent from ScoreApp. ScoreApp may assign or transfer this Agreement, including to any successor or acquirer of its business or assets.
11.3 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under this Agreement.
11.4 Force Majeure. Neither Party shall be liable for delays or failures caused by events beyond its reasonable control.
11.5 Entire Agreement. This Agreement, together with the ScoreApp Terms of Service, constitutes the entire agreement between the Parties relating to the partner relationship and supersedes all prior agreements or understandings relating to its subject matter, including any previous version of the ScoreApp Partnership Agreement.
11.6 Amendments. ScoreApp may update this Agreement from time to time by providing reasonable notice to Partners. Continued participation in the ScoreApp partner programme following such notice constitutes acceptance of the updated Agreement.
11.7 Severability. If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
Acceptance. By ticking “I have read and accept the ScoreApp Partner Agreement” in your Partner Dashboard, you confirm that you have read, understood and agree to be bound by this Agreement (Version 2.0). ScoreApp will record the version accepted, the date and time of acceptance, and your account identifier.
